Preamble

These Bylaws are adopted pursuant to the "Joint Exercise of Powers Agreement of the California Sanitation Risk Management Authority (Restated as of August 9, 1991)" (the "Agreement"). These Bylaws, as restated in this instrument, supersede the Bylaws of the California Sanitation Risk Management Authority ("CSRMA") which were adopted by a resolution of CSRMA's Board of Directors on November 16, 1986, and which were subsequently amended; and they also supersede the Bylaws of CSRMA which were restated as of August 17, 1988. Because of a contemporaneous restatement of the Agreement due to restructuring of the CSRMA organization, the need to make additional amendments to CSRMA's Bylaws and the desirability of incorporating all changes in a single instrument, CSRMA's Bylaws are restated for the second time as of August 9, 1991.
